The decision weakens Textor, separating his rights from those of the holding. The crisis in Botafogo continues, with a hearing scheduled to seek stability and avoid further judicializations. The dispute for control of the SAF of Botafogo gained a new twist on Monday, changing the balance of power within the club. In a 50-page decision obtained by GLOBO, the Arbitral Tribunal of the Chamber of FGV returned political rights to Eagle Bidco — the holding owner of 90% of the SAF —, suspended societary acts made without the company's participation, declared the election and possession of Durcesio Mello in the SAF structure irregular, and determined a reorganization of the administration council. At the same time, the arbitrators removed a specific precautionary measure that guaranteed Textor's permanence in his statutory position, separating for the first time explicitly the rights of Eagle from the personal situation of the American businessman. The decision occurs less than three weeks after the same tribunal arbitral temporarily removed Textor from the management of the SAF in the midst of the escalation of the financial, societary, and judicial crisis involving Botafogo, Eagle Football, and the club association. Since then, the association has been trying to reorganize the command of the SAF, while Eagle has alleged to have been excluded from strategic decisions and internal assemblies of the company. In practice, the arbitration now makes a double move: weakens measures taken without the participation of Eagle, but also avoids returning total protection to Textor. The result is a new power scenario within Botafogo: the holding returns to the center of governance of the SAF, while the permanence of the American businessman in the direct management of the club loses explicit legal protection. The main point of the decision is the reaffirmation that Eagle Bidco maintains full political rights within the SAF of Botafogo. The tribunal determines “the conservation of the political rights of Eagle Bidco” and ratifies that the holding has the right to participate, represent itself, and even preside over the Extraordinary General Assembly scheduled for May 14. In practice, this means that the arbitration rejected the attempt to empty the political power of the company within the SAF. The decision leaves clear that the controlling shareholder continues to have legitimacy to participate in the strategic decisions of the club, even in the face of the ongoing judicial and societary dispute. The tribunal also suspended the effects of the shareholders' agreement signed in July 2025 and of “all societary acts and assembly minutes made since 17/07/2025 without the due representation of Eagle Bidco”. The measure puts into question the deliberations taken in the last months without effective participation of the holding. Another important section of the decision deals directly with the situation of Durcesio Mello, who was elected president of the SAF in an assembly held on July 17, 2025, without the presence of Eagle Bidco. The arbitration declared the election irregular and determined that the possession of Durcesio Mello in the SAF be considered null. The decision also determined the reorganization of the administration council of the SAF, with the participation of Eagle Bidco and the exclusion of Durcesio Mello. The arbitration also determined the holding of an extraordinary general assembly to elect a new president of the SAF, with the participation of Eagle Bidco and the exclusion of Durcesio Mello.
